Deborah is the legal counsel and corporate secretary for an ambitious technology company. She wears many hats including tracking data for shareholders and equity plans as well as planning and organizing the issues to be reviewed and approved by the board of directors. Her concerns lately have been whether or not the spreadsheet-driven management and administration of the company's equity compensation plans and capitalization are accurate and up-to-date. She wants to report the correct numbers to the board of directors as well as provide stockholders with an accurate number of their holdings when they make inquiries. Knowing the desire to raise an additional round of financing by the CEO, Deborah realizes now is the time to get these complex matters and related legal documents into an integrated and proven business solution.

Deborah is also seeking a method to improve the communication and security of the company's board of directors meetings to help meet required levels of corporate governance and compliance.  

 

Amy also is charged with providing updated financial statements at the quarterly board of directors meetings. At present, she has no secure way to distribute these sensitive documents to board members except via email. At the last board meeting she had to make changes to the financial numbers the day before the board book was sent overnight and stayed late that evening modifying the binders and pages affected.
